General
These Terms and Conditions govern the sale and supply of chemicals and related products. By placing an order, the customer agrees to these terms unless otherwise agreed in writing.
Product Specifications
- Product specifications are provided based on standard manufacturing parameters.
- Minor variations within industry-accepted tolerances shall not be considered defects.
- Customers are responsible for verifying product suitability before use.
Orders
- All orders are subject to acceptance and product availability.
- Orders cannot be cancelled or modified after production or dispatch without written approval.
- Minimum Order Quantity (MOQ) may apply for selected products.
Pricing
- Prices are subject to change without prior notice.
- Applicable taxes, duties, freight, insurance, and other statutory charges will be charged extra unless otherwise specified.
- Quotations are valid only for the period mentioned in the quotation.
Payment Terms
- Payments shall be made as agreed in the purchase order or invoice.
- Delayed payments may attract interest as permitted under applicable law.
- Ownership of goods remains with the supplier until full payment is received.
Delivery
- Delivery dates are approximate and subject to production schedules and transportation conditions.
- The supplier shall not be liable for delays caused by circumstances beyond reasonable control.
- Risk of loss or damage passes to the customer upon delivery to the carrier or designated delivery location, as agreed.
Inspection and Acceptance
- Customers should inspect materials immediately upon receipt.
- Any shortage, damage, or quality complaint must be reported in writing within 7 days of delivery.
- Claims made after the specified period may not be accepted.
Storage and Handling
- Chemicals must be stored according to the recommendations provided in the Safety Data Sheet (SDS).
- Customers are responsible for safe storage, handling, transportation, and use of the products.
- Appropriate Personal Protective Equipment (PPE) should always be used.
Safety
- Safety Data Sheets (SDS) are available upon request.
- Customers shall ensure compliance with all applicable safety, environmental, and occupational health regulations.
- Products are intended for industrial or professional use unless otherwise specified.
Returns
- Chemicals cannot be returned once supplied unless there is a verified manufacturing defect or prior written approval.
- Returned products must be unopened, properly sealed, and in their original packaging where applicable.
Warranty
- Products are warranted only to conform to the specifications stated at the time of delivery.
- No other express or implied warranties, including merchantability or fitness for a particular purpose, are provided unless agreed in writing.
Limitation of Liability
- The supplier’s liability shall be limited to replacement of defective products or refund of the purchase price, at the supplier’s discretion.
- The supplier shall not be liable for indirect, incidental, consequential, or special damages arising from the use or misuse of the products.
Regulatory Compliance
Customers are responsible for ensuring that the purchase, transport, storage, handling, and use of chemicals comply with all applicable local, national, and international laws and regulations.
Force Majeure
The supplier shall not be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, fire, flood, pandemic, labor disputes, government restrictions, transportation disruptions, or shortages of raw materials.
Intellectual Property
All trademarks, product names, technical documents, and related materials remain the intellectual property of the supplier unless otherwise agreed.
Governing Law
These Terms and Conditions shall be governed by the laws of the applicable jurisdiction, and any disputes shall be subject to the exclusive jurisdiction of the competent courts.
Amendments
The supplier reserves the right to modify these Terms and Conditions at any time. The latest version shall apply to all future orders unless otherwise agreed in writing.
